Executive Board Position Descriptions

The President

The President shall be the principal Officer of the Corporation, a member of the Executive Board and, subject to the control of the Executive Board, shall in general supervise and control all of the business and affairs of the Corporation.  The President shall, when present, preside at all meetings of the Executive Board.  He or she may sign, with the Treasurer or any other proper officer of the Corporation thereunto authorized by the Executive Board, any contracts or other instruments which the Executive Board has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Executive Board or by these Bylaws to some other officer or agent of the Corporation, or shall be required by law to be otherwise signed or executed; and in general shall perform all duties incident to the office of President and such other duties as may be prescribed by the Executive Board from time to time.

 

The Vice President

The Vice President shall be a member of the Executive Board.  In the absence of the President or in the event of his or her death, inability or refusal to act, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President.  Any Vice President may sign with the Treasurer or any other proper officer of the Corporation thereunto authorized by the Executive Board and shall perform such other duties as from time to time may be assigned to him or her by the President or by the Executive Board.  The Vice President shall review the Bylaws of the Corporation each year and shall coordinate/oversee all fundraising efforts.  The Vice President shall assume the Office of President in the year following his/her election as Vice President.

 

The Secretary

The Secretary shall serve as a member of the Executive Board. The Secretary shall:  (a) keep the minutes of the Executive Board’s meetings; (b) see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law; (c) be custodian of the corporate records and of the seal of the Corporation and see that the seal of the Corporation is affixed to all documents, the execution of which on behalf of the Corporation under its seal is duly authorized; (d) keep a register of the post office address of each Officer which shall be furnished to the Secretary by such Officer; (e) in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him or her by the President or by the Executive Board.

 

The Treasurer

The Treasurer shall serve as a member of the Executive Board.  The Treasurer shall:  (a) have charge and custody of and be responsible for all funds and securities of the Corporation; receive and give receipts for moneys due and payable to the Corporation from any source whatsoever, and deposit all such moneys in the name of the Corporation in such banks, trust companies or other depositories as shall be selected in accordance with the provisions of Article VIII of these Bylaws; and (b) in general perform all of the duties incident to the office of Treasurer and such other duties as from time to time may be assigned to him or her by the President or by the Executive Board.  If required by the Executive Board, the Treasurer shall give a bond for the faithful discharge of his or her duties in such sum and with such surety or sureties as the Executive Board shall determine.  The Treasurer shall prepare monthly financial reports/statements for presentation at monthly Executive Board and Booster meetings.  The Treasurer shall also coordinate the preparation of any Corporate tax returns and shall prepare the annual budget for presentation to the Executive Board and Boosters at its annual May meeting.

 

The Assistant Treasurer

The Assistant Treasurer shall be a member of the Executive Board.  In the absence of the Treasurer or in the event of his or her death, inability or refusal to act, the Assistant Treasurer shall perform the duties of the Treasurer, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Treasurer.  Any Assistant Treasurer may sign with the Treasurer or any other proper officer of the Corporation thereunto authorized by the Executive Board and shall perform such other duties as from time to time may be assigned to him or her by the President or by the Executive Board.  The Assistant Treasurer will be responsible for handling accounts receivable and accounts payable, logging all payment activities, setting up invoices, assisting in the management of the budgets and establishing periodic financial assessments.  The Assistant Treasurer will also be responsible for coordinating all financial activities and documentation associated with band trips and special projects, and working with the office staff as necessary concerning the reconciliation of student accounts as they relate to band activities.  The Assistant Treasurer shall assume the Office of Treasurer in the year following his/her election as Assistant Treasurer.

 

Communications Director

The Communications Director shall serve as a member of the Executive Board and will be responsible for all communications from the Executive Board, committees and band directors to the Boosters and such other duties as from time to time may be assigned to him or her by the President or by the Executive Board.  The Communications Director shall be responsible for regular communications with the Boosters whether through a weekly newsletter or similar type medium, oversight of the website.  The Communications Director shall also be responsible for preparing fundraising materials including order forms, flyers, announcements and signs and preparing program ads for competitions or other band performances and will coordinate the creation and preparation of the annual band video to be presented at the last band concert in May.  The Communications Director shall oversee and coordinate social media posts with the assistance of the band students appointed by the band directors to serve as Social Media Leadership.
